1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the website, platform, and services operated by Inedsys at Inedsys.com (collectively, the "Service"), including webinars, recorded presentations, physician-presented educational content, downloadable slides, chats, BoBoard Prep, Grand Rounds, symposiums, conferences, membership subscriptions, the InedAI assistant, newsletter and email communications, and any associated software or tools.
By accessing or using any part of the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must immediately discontinue use of the Service.
These Terms apply to all visitors, registered users, paid members, presenters, and any other party who interacts with the Service (collectively, "Users").
2. Description of Services
Inedsys provides an online platform for medical and scientific education, including but not limited to:
- Live and recorded webinars featuring licensed physicians and healthcare professionals presenting cutting-edge research, clinical findings, and general medical topics.
- Free and Premium on-demand video content hosted on the Service and on third-party platforms including YouTube.
- Downloadable presentation slides and supplementary materials provided by presenting physicians.
- Paid membership plans that unlock access to Premium content (see Section 8).
- InedAI, an AI-powered assistant that answers questions related to content available on the Service (see Section 3).
- A newsletter and email communication service delivering webinar reminders, new content announcements, and platform updates (see Section 4).
- Related software-as-a-service (SaaS) tools, dashboards, and platform features accessible through a user account.
Inedsys reserves the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.
3. InedAI — AI-Powered Assistant
3.1 Overview
InedAI is an artificial intelligence assistant available through the Service that allows users to ask questions related to medical content, physician presentations, and topics covered on Inedsys.com or content publicly available on artificial intelligence assistance tools. InedAI is designed to supplement the educational content on the platform and to help users navigate and understand that content.
InedAI IS NOT A MEDICAL ADVISOR: Responses generated by InedAI are for informational and educational purposes only. They do not constitute medical advice, diagnosis, or treatment recommendations. InedAI may produce inaccurate, incomplete, or outdated responses. Always consult a qualified and licensed healthcare professional for any medical decision.
3.2 Anonymous Question Storage for AI Improvement
Inedsys stores the questions and queries submitted to InedAI to improve the quality, accuracy, and relevance of AI-generated responses over time. This data is collected and stored in a manner that is dissociated from your identity — Inedsys may link stored questions to individual user accounts, names, email addresses, or other personally identifiable information as necessary to perform the services.
By submitting a question to InedAI, you acknowledge and consent to the anonymous storage and use of that question for AI model improvement purposes.
Because InedAI questions are stored anonymously, we cannot retrieve, delete, or correct a specific question on your behalf after it has been submitted. For this reason, users are strongly encouraged not to include personal health information, names, or other sensitive personal details in questions submitted to InedAI.
3.3 Limitations
Inedsys makes no representations or warranties regarding the accuracy, completeness, or reliability of InedAI responses. InedAI responses may reflect the limitations of the underlying AI model and the information available to it at the time of a query. Inedsys is not liable for any reliance placed on InedAI responses.
4. Email Communications and Newsletter
4.1 Types of Communications
Inedsys may send the following types of email communications to registered users:
- Transactional emails: account confirmation, password resets, billing receipts, and security alerts. These are sent as necessary to administer your account and cannot be opted out of while your account is active.
- Newsletter: periodic updates about the platform, featured physician content, and the Inedsys community.
- Webinar reminders: notifications about upcoming live webinars and recently published recordings.
- New content announcements: alerts when new physician presentations, videos, or slides are added to the Service.
- Promotional emails: special offers, membership promotions, and platform updates.
4.2 Consent and Opt-In
By creating an account or subscribing to the newsletter, you consent to receive the communications described above. Where required by applicable law, we will obtain your affirmative opt-in consent before sending marketing or promotional emails.
4.3 Opt-Out and Unsubscribe
You may opt out of non-transactional email communications at any time by: (i) clicking the "Unsubscribe" link included in every marketing or newsletter email; or (ii) contacting us at contact@inedsys.com with an unsubscribe request. Opt-out requests will be processed within 10 business days. You will continue to receive transactional emails necessary to administer your account regardless of your marketing preferences.
4.4 CAN-SPAM and Anti-Spam Compliance
Inedsys complies with the CAN-SPAM Act and applicable anti-spam laws. Every commercial email we send will: (i) identify Inedsys as the sender; (ii) include our physical mailing address; (iii) include a clear and functional unsubscribe mechanism; and (iv) honor opt-out requests promptly. Inedsys does not sell, rent, or share email subscriber lists with third-parties for their own marketing purposes.
5. Medical and Educational Content Disclaimer
IMPORTANT — NOT MEDICAL ADVICE: The content available through the Service, including all webinars, recorded presentations, videos, slides, and InedAI responses, is provided for EDUCATIONAL AND INFORMATIONAL PURPOSES ONLY. It does not constitute, and must not be construed as, medical advice, diagnosis, treatment recommendations, or a substitute for professional medical consultation. The views and opinions expressed by presenting physicians are their own and do not necessarily reflect the position of Inedsys. Content reflects information available at the time of recording and may not reflect the most current medical research, standards of care, or regulatory guidance. ALWAYS consult a qualified and licensed healthcare professional regarding any medical condition, treatment, or health decision.
Inedsys makes no representations or warranties regarding the accuracy, completeness, or currency of any medical or scientific content. Medical knowledge evolves rapidly, and content accurate at the time of presentation may subsequently be revised or contradicted by new research.
6. User Accounts
6.1 Registration
Certain features of the Service require you to create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
6.2 Account Security
You must notify Inedsys immediately at contact@inedsys.com if you become aware of any unauthorized access to or use of your account. Inedsys is not liable for any loss or damage arising from your failure to maintain the security of your account.
6.3 Account Termination
Inedsys reserves the right to suspend or terminate any account at its sole discretion, including for violation of these Terms, misuse of content, failure to pay applicable fees, or for any other reason, with or without notice.
6.4 Webinar Attendance and Recording Consent
All live webinars, presentations, and panel discussions hosted on the Inedsys platform are recorded. By creating an account and joining any live event, you acknowledge and agree that your participation—including your name (as registered on your account), audio, video (if your camera is enabled), and any questions, comments, or statements you make during the session—may be captured and included in published recordings.
Recorded content may be distributed through the following channels:

Long-form video recordings published on the Inedsys website and YouTube channel;

InedCast, Inedsys’s podcast and audio series, which may feature Q&A segments, audience questions, and panelist discussions extracted from live sessions; and
-
Any promotional clips or short-form content as described in Section 7.5.
Your agreement to these Terms of Service at the time of account creation constitutes your informed consent to the above recording and distribution. You do not need to provide additional consent each time you attend an event.
6.4.1 Panelists and Featured Guest Speakers
Individuals who are invited to participate as panelists, co-presenters, or guest speakers in a webinar or presentation (“Panelists”) are subject to the same recording consent in Section 6.4 and, in addition, grant Inedsys the same content license applicable to Presenters as set forth in Section 7.2. Panelists’ names, credentials, likenesses, and contributions may be used in promotional materials, episode descriptions, and InedCast listings. Inedsys may request a separate written acknowledgment from Panelists prior to the event.
6.4.2 Limiting Your Appearance
Participation in a live event is voluntary. If you prefer to limit your appearance in published recordings, you may: (a) submit questions through the text-based Q&A or chat feature without enabling your microphone or camera, or (b) choose not to join the live session and access the recording after it is published. Questions submitted via text may still be read aloud by the host and included in published content; if you wish your question to remain anonymous, please indicate “anonymous” when submitting it.
7. Presenter and Speaker Terms
7.1 Presenter Eligibility and Consent
Physicians and other healthcare professionals who present webinars or submit content through the Service ("Presenters") must be licensed and in good standing in their respective jurisdiction(s). By agreeing to present, each Presenter grants Inedsys a written or electronic consent to record, edit, publish, and distribute their presentation content as set forth in Section 7.2.
7.2 Content License Granted by Presenters
By submitting or presenting content through the Service, each Presenter grants Inedsys a non-exclusive, royalty-free, worldwide, perpetual, irrevocable license to:
- Record, reproduce, and store the presentation in any format;
- Publish, display, and distribute the recorded video and associated slides on the Service and on third-party platforms, including YouTube;
- Make content available to both free-tier and paid-tier users as determined by Inedsys at its discretion;
- Edit the recording for quality, length, or accessibility purposes, provided the substantive content is not altered;
- Use the Presenter’s name, credentials, and likeness solely in connection with the promotion and display of their presentation; and
- Create derivative works such as highlight clips, transcripts, or summaries, with accurate attribution.
- Create short-form video clips and excerpts from presentations for promotional purposes, posted on social media platforms including LinkedIn, YouTube Shorts, X (formerly Twitter), Instagram, and TikTok; and
- Use Presenter’s name, credentials, professional title, and institutional affiliation solely to attribute short-form clips to the original presenter.
This license does not transfer ownership of the underlying content. Presenters retain all intellectual property rights subject to the license granted above.
Note to Presenters: Inedsys operates a paid membership model and generates revenue from YouTube advertising shown on videos. By consenting to present, you acknowledge that your content may be monetized in these ways. Presenters do not receive a share of subscription or YouTube ad revenue unless a separate written agreement expressly provides for compensation.
7.3 Presenter Representations and Warranties
Each Presenter represents and warrants that:
- They have the full right and authority to grant the license described above;
- Their content does not infringe any third-party intellectual property rights;
- Their content does not violate any applicable laws, regulations, or professional standards;
- Any patient data included in presentations has been properly de-identified or has received all required consents; and
- Their content is accurate to the best of their professional knowledge at the time of presentation.
7.4 Slides and Supplementary Materials
Slides submitted by Presenters will be made available to eligible users for personal, non-commercial, educational purposes only. Inedsys will display Presenter attribution on all materials. Presenters retain ownership of their slides subject to the license in Section 7.2.
7.5 Promotional Short-Form Clips and Social Media Distribution
Inedsys may create short-form video clips and excerpts (“Clips”) from physician presentations for the purpose of promoting the Service and its educational content. Clips are drawn from existing recorded presentations and are not altered in their substantive meaning or medical content — only the length is reduced. Clips will be distributed on social media platforms including, but not limited to, LinkedIn, YouTube Shorts, X (formerly Twitter), Instagram, and TikTok.
Content Integrity: Inedsys will not alter, misrepresent, or take out of context the substantive medical or scientific content of any Clip. Clips will be taken as contiguous excerpts from the original recording. Inedsys will not splice together unrelated segments in a manner that changes the meaning of a Presenter’s statements.
Attribution: All Clips will clearly identify the Presenter by name and credentials. Clips will include a reference to Inedsys.com and, where platform format permits, a link to the full presentation.
Medical Disclaimer on Clips: Where platform format allows, Clips will include or link to a disclaimer stating that the content is for educational purposes only and does not constitute medical advice.
Presenter Opt-Out: A Presenter who does not wish their presentation to be used for short-form promotional Clips may notify Inedsys at contact@inedsys.com at the time of presenting or at any time thereafter. Inedsys will use commercially reasonable efforts to remove existing Clips within 30 days of a valid opt-out request, subject to limitations of third-party platform removal policies.
Platform Terms: Clips posted on third-party social media platforms are subject to the terms of service and community guidelines of those platforms. Inedsys is not responsible for how those platforms display, distribute, or monetize Clips once posted.
7.6 InedCast — Podcast and Audio Content
Inedsys publishes InedCast, a podcast and audio series that may include excerpts from webinar recordings, live Q&A segments, panelist discussions, and audience questions. By presenting, paneling, or attending a webinar, you grant Inedsys the right to include your contributions in InedCast episodes as part of the licenses described in Sections 6.4, 7.1, and 7.2.
InedCast content may be distributed on:
-
The Inedsys website and mobile application;
-
Major podcast platforms (e.g., Apple Podcasts, Spotify, Google Podcasts, Amazon Music); and
-
YouTube and other social media platforms as described in Section 9.
Inedsys will not materially alter the substance of any participant’s statements when producing InedCast episodes. Standard editing (trimming silence, improving audio clarity, adding intro/outro music) does not constitute a material alteration.
8. Intellectual Property
8.1 Inedsys Content
The Service and all content, features, and functionality developed by Inedsys — including website design, software, trademarks, logos, user interface, platform code, and InedAI — are owned by Inedsys and protected by applicable intellectual property laws.
8.2 Presenter-Owned Content
Webinar recordings, slides, and other materials created by Presenters remain the intellectual property of the respective Presenter, subject to the license granted in Section 7.2.
8.3 Permitted User Use
Subject to these Terms and the applicable membership tier, registered users are granted a limited, non-exclusive, non-transferable, revocable license to access and view content for personal, non-commercial, educational purposes. This license does not include the right to download or redistribute videos, use content commercially, remove attribution notices, or share account credentials to circumvent paid access.
8.4 DMCA — Copyright Complaints
If you believe that content on the Service infringes your copyright, please send a written DMCA notice to contact@inedsys.com with: (i) identification of the copyrighted work; (ii) identification and location of the infringing material; (iii) your contact information; (iv) a good faith belief statement; and (v) a statement of accuracy under penalty of perjury.
9. Third-Party Platforms — YouTube and Embedded Content
Inedsys distributes content — including full presentations and short-form promotional Clips — on third-party platforms including YouTube, LinkedIn, X (formerly Twitter), Instagram, and TikTok. Content may also be embedded on the Service or accessed via third-party links. When you access content through any third-party platform, you are subject to that platform’s own Terms of Service and Privacy Policy. Inedsys is not responsible for the practices of any third-party platform.
Inedsys maintains accounts on YouTube, LinkedIn, X (formerly Twitter), Instagram, and TikTok for distribution of physician presentations and promotional Clips. Each platform operates independently; removal of content from one platform does not automatically remove it from others. If a Presenter wishes to request removal of their content from any platform, they should contact contact@inedsys.com and Inedsys will use commercially reasonable efforts to facilitate removal within 30 days, subject to each platform’s own policies.
10. Membership Plans and Access to Premium Content
10.1 Free and Premium Tiers
Inedsys offers both free and paid membership access to content on the Service:
- Free Access: Certain webinar recordings, videos, and materials are available to all registered users at no charge.
- Premium Membership: Access to Premium content — including select physician webinars, full-length recordings, paid content, associated slides, and other content (as made available) — requires a paid membership subscription. Users can upgrade to Premium directly on Inedsys.com via the “Upgrade to Premium” link. Premium content is clearly labeled on the Service.
Inedsys reserves the right to change which content is designated as free or Premium at any time, with reasonable notice to existing paid members.
10.2 Purpose of Membership Fees
Membership fees collected by Inedsys are used to support the operation and maintenance of the platform, compensate staff and employees, fund content production and hosting, and sustain the delivery of physician-led educational programming. By becoming a paid member, you are directly supporting this educational mission.
10.3 YouTube Channel Membership
In addition to platform memberships purchased at Inedsys.com, Inedsys may offer a separate YouTube Channel Membership for access to Premium content via YouTube. YouTube Channel Memberships are subject to YouTube’s own terms and are administered directly by YouTube. Inedsys is not responsible for billing, refunds, or account management related to YouTube Channel Memberships.
A YouTube Channel Membership does not automatically confer access to all Premium content on Inedsys.com, and vice versa, unless explicitly stated.
11. Payment Terms and Billing
11.1 Fees and Pricing
Current membership pricing is displayed on the Service at the time of purchase. All fees are stated in U.S. dollars unless otherwise indicated. Inedsys reserves the right to change pricing at any time; price changes will take effect at the next billing cycle after notice to existing subscribers.
11.2 Billing and Automatic Renewal
Paid memberships are billed on a recurring basis (monthly or annually, as selected at checkout). YOUR SUBSCRIPTION WILL AUTOMATICALLY RENEW AT THE END OF EACH BILLING PERIOD AT THE THEN-CURRENT RATE UNLESS YOU CANCEL BEFORE THE RENEWAL DATE. By enrolling in a paid membership, you authorize Inedsys (or its payment processor) to charge your payment method on a recurring basis.
California Residents: In compliance with California’s Automatic Renewal Law (Cal. Bus. & Prof. Code § 17600 et seq.), we disclose that (i) your subscription will auto-renew, (ii) the charge amount and renewal frequency are as described at checkout, (iii) you may cancel at any time, and (iv) cancellation instructions are provided in Section 11.4 below.
11.3 Payment Processing — Stripe
Inedsys uses Stripe, Inc. ("Stripe") as its third-party payment processor. By submitting payment information, you authorize Stripe to charge your selected payment method on Inedsys’s behalf. Inedsys does not store full credit or debit card numbers on its own servers; payment data is handled directly by Stripe in accordance with PCI-DSS standards. Your use of Stripe is subject to Stripe’s Terms of Service (stripe.com/legal) and Privacy Policy (stripe.com/privacy).
11.4 Cancellation
You may cancel your paid membership at any time using either of the following methods:
- Self-service: Use the cancellation link in your account on Inedsys.com, which connects to the Stripe customer portal.
- By email: Contact contact@inedsys.com and we will process your cancellation request within 5 business days.
Cancellation will take effect at the end of the current billing period. Inedsys does not provide prorated refunds for partial billing periods, except as required by applicable law.
11.5 Refunds
Inedsys generally does not offer refunds for paid membership fees except as required by applicable law or as expressly stated at the time of purchase. If you believe you were charged in error, please contact contact@inedsys.com within 30 days of the charge.
11.6 Failed Payments
If a payment fails, Inedsys may suspend or downgrade your access to Premium content until payment is successfully processed.
12. Advertising and Monetization Disclosure
12.1 YouTube Advertising Revenue
Inedsys participates in the YouTube Partner Program. Videos published on Inedsys’s YouTube channel may include advertisements placed by YouTube. Inedsys receives a portion of advertising revenue from those videos. Advertisements are selected and displayed by YouTube; Inedsys does not control the specific advertisements shown.
12.2 No Advertiser Influence on Content
The selection of webinar topics, presenters, and content is made independently of advertising relationships. Presenting physicians are not compensated by advertisers in connection with their Inedsys presentations unless separately and expressly disclosed.
12.3 FTC Disclosure
In accordance with FTC guidelines, Inedsys discloses that it earns revenue through: (i) paid user memberships on Inedsys.com; (ii) YouTube Channel Memberships; and (iii) advertising revenue from YouTube. Where applicable, any material financial relationships between Inedsys and presenting physicians or sponsors will be disclosed in connection with the relevant content.
13. Acceptable Use and User Conduct
You agree that you will not use the Service to:
- Violate any applicable federal, state, or local law or regulation;
- Infringe, misappropriate, or violate any intellectual property or privacy rights of any party;
- Share, reproduce, or distribute Premium content outside the Service without authorization;
- Circumvent access controls, including by sharing login credentials;
- Submit personal health information, names, or other sensitive personal data to InedAI;
- Upload, transmit, or distribute any content that is unlawful, defamatory, obscene, or fraudulent;
- Impersonate any person or entity or misrepresent professional credentials;
- Use automated means to access, collect, or index content without prior written permission; or
- Use content accessed through the Service for commercial products or services without express written authorization from Inedsys.
14. Disclaimers of Warranties
THE SERVICE AND ALL CONTENT, INCLUDING INEDAI RESPONSES, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, INEDSYS EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO: (I) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT; (II) WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; AND (III) WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR AI-GENERATED RESPONSES.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INEDSYS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, PRESENTERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH: (I) YOUR USE OF OR INABILITY TO USE THE SERVICE; (II) RELIANCE ON ANY CONTENT, INCLUDING MEDICAL CONTENT OR INEDAI RESPONSES; (III) UNAUTHORIZED ACCESS TO YOUR DATA; OR (IV) ANY OTHER MATTER RELATING TO THE SERVICE.
IN JURISDICTIONS THAT DO NOT ALLOW EXCLUSION OF CERTAIN DAMAGES, INEDSYS’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL MEMBERSHIP FEES YOU PAID TO INEDSYS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
16. Indemnification
You agree to indemnify, defend, and hold harmless Inedsys, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to: (i) your breach of these Terms; (ii) your use of the Service; (iii) your reliance on any content or InedAI response for any medical or clinical decision; (iv) any content you submit or transmit through the Service; or (v) your violation of any applicable law or the rights of any third-party.
17. Privacy
Your use of the Service is governed by our Privacy Policy, available at Inedsys.com/privacy-policy, incorporated into these Terms by reference. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy, including the collection of newsletter preferences, email communications data, and anonymized InedAI query data.
18. Governing Law and Dispute Resolution
18.1 Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles. Inedsys is incorporated in Delaware; however, consumer protection laws of other states — including California’s Automatic Renewal Law — apply to users residing in those states.
18.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall first be submitted to good-faith negotiation. If unresolved within thirty (30) days, it shall be resolved by binding arbitration conducted by the American Arbitration Association under its then-current rules, with proceedings held in Delaware.
18.3 Class Action Waiver
TO THE EXTENT PERMITTED BY LAW, YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST INEDSYS.
18.4 Billing Disputes
Billing disputes must first be submitted to contact@inedsys.com and allow Inedsys thirty (30) days to resolve the matter before initiating arbitration.
19. Changes to These Terms
Inedsys reserves the right to modify these Terms at any time. If we make material changes — including changes to pricing, membership benefits, AI features, email practices, or monetization — we will provide at least thirty (30) days’ notice by posting the revised Terms on the Service and, where we have your email address, by emailing you. Your continued use of the Service after the effective date constitutes your acceptance of the revised Terms.
20. General Provisions
20.1 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Inedsys regarding the Service.
20.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
20.3 Waiver
Failure by Inedsys to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
20.4 Assignment
Inedsys may assign its rights and obligations under these Terms without restriction. You may not assign your rights without prior written consent from Inedsys.
20.5 Force Majeure
Inedsys shall not be liable for any failure or delay in performance due to causes beyond its reasonable control.

22. Chat and Messaging
22.1 Description of the Chat Feature
The Service includes a real-time messaging feature for communication between Users associated with Special Interest Groups (SIGs), Events (Grand Rounds and Symposiums), and user-created groups (for any type of chat group, club, etc. furnished to users). Each chat room is private to its members. User-created groups require administrator approval before any member other than the creator may view or post within them, and invited Users may not view or post until they have accepted the invitation from their dashboard.
22.2 Acceptable Use of Chat
When using the chat feature, you agree not to: (a) transmit content that is unlawful, defamatory, infringing, harassing, threatening, or that violates any third-party’s rights; (b) transmit protected health information, patient-identifiable information, or any other content that you do not have the right to share; (c) impersonate another person or misrepresent your affiliation; (d) attempt to evade moderation actions or operate multiple accounts to circumvent a ban; or (e) use chat to send unsolicited commercial communications. Section 13 (Acceptable Use and User Conduct) applies to chat content in addition to the rules in this Section 22.
22.3 No End-to-end Encryption; Operator Access
You acknowledge and agree that the chat feature is NOT end-to-end encrypted. Inedsys administrators and moderators are able to read message content (including attached photographs) for purposes including, without limitation, moderation, safety, abuse prevention, security, and legal compliance. You should not transmit any information through the chat feature that you would not be willing to share with Inedsys.
22.4 Moderation, Warnings, Bans, and Account Suspension
Inedsys reserves the right, in its sole and unquestionable discretion, to: (a) review reported messages and surrounding context; (b) delete messages (which may be implemented as a soft-delete that blanks message content but retains a record of the action); (c) issue formal warnings to a User; (d) ban a User from one or more chat features; (e) remove a User from a specific group; (f) reject or remove a user-created group; and (g) suspend a User’s entire account. Suspension of an account terminates that account’s right to use the Service and, where applicable, may result in forfeiture of remaining subscription value, except where otherwise required by applicable law. All moderation actions are logged. Inedsys is not obligated to provide reasons for moderation decisions.
22.5 User-generated Chat Content; License
You retain ownership of the messages and photographs you post in chat. You grant Inedsys a worldwide, perpetual (as modified herein), non-exclusive, royalty-free license to host, store, transmit, display, reproduce, and distribute that content within the Service solely as necessary to operate, secure, and improve the Service and to enforce these Terms. This license terminates with respect to any specific piece of content when that content is deleted by you or by Inedsys, subject to retention of backup copies for a commercially reasonable period and to records required for moderation and legal purposes.
23. Special Interest Groups (SIGs)
23.1 Membership and Roles
SIGs are clinician communities organized around a clinical specialty. SIG roles include chair, vice-chair, secretary, and member. SIG membership and content visibility are governed by the SIG’s settings; draft SIGs are visible only to their members and to Inedsys administrators, live SIGs are discoverable to authenticated Users but their discussion and forum content remain restricted to members, and archived SIGs are hidden from listings.
23.2 SIG Forum Access
The SIG member forum is open to all authenticated SIG members for both reading and posting. Access to the SIG forum is NOT restricted to paid Premium accounts. Inedsys reserves the right to introduce paid tiers for other SIG features in the future.
23.3 Slide and Presentation Uploads
SIG members may upload presentation materials in PDF, PPT, or PPTX format. By uploading materials to a SIG, you represent and warrant that you have the right to share the materials and that the materials do not include any patient-identifiable information. You grant Inedsys the same license described in Section 7.2 with respect to such materials, except that the license is limited to making the materials available to authorized SIG members and to operating, securing, and improving the Service. Inedsys may remove materials at any time, with or without notice, where it considers removal appropriate, including in response to a takedown notice under Section 8.4.
23.4 Discussion conduct
SIG discussion and forum posts are subject to the acceptable-use rules in Section 13 and the chat acceptable-use rules in Section 22.2, including the prohibition on entering patient-identifiable information.
24. Grand Rounds and Symposiums
24.1 Event Delivery; Zoom
Grand Round and Symposium events are delivered through Zoom under a fully API-integrated workflow. As a panelist, presenter, co-host, support-staff member, chair, moderator, or attendee, you understand that Inedsys creates, updates, and deletes Zoom webinars on the host’s behalf and that your name and email address may be transmitted to Zoom as a sub-processor in order to enroll you in the webinar. Zoom processes that information under its own terms and privacy notice, which we discuss in the Privacy Policy.
24.2 Recording and Consent
By participating in any Grand Round, Symposium, or other Event in any capacity (including as a presenter, panelist, co-host, support-staff member, chair, moderator, or attendee), you grant Inedsys the right to record the session and to use the resulting recording, including your name, voice, image, and contributions, on the terms set out in Section 6.4 (Webinar Attendance and Recording Consent) and Section 7 (Presenter and Speaker Terms) without your separate consent. If you do not wish to be recorded, you must not enable your microphone or camera or you may decline to attend.
24.3 Event Invitations Sent to Non-users
Hosts and Inedsys may extend invitations by email to prospective participants who are not registered Users of the Service. Acceptance of such an invitation, or any subsequent use of the Service, constitutes acceptance of these Terms and the Privacy Policy. Inedsys will honor reasonable requests by prospective invitees to delete their email address from invitation records, subject to applicable legal or operational record-keeping requirements.
24.4 Applying to Host; Sponsorship and Pharmaceutical-industry Funding
Applicants to host a Grand Round (or to submit a custom-symposium inquiry) acknowledge that the application form collects an extensive set of personal and institutional information, including, but not limited to, pharmaceutical-industry-facilitated funding and contact information, budget, sponsors, and consent flags. By submitting an application, you represent that you have the authority to share the information you provide and that any consent flags you check (including with respect to pharmaceutical outreach and recording rights) are accurate. You may withdraw an application at any time before it is accepted, in which case Inedsys will delete or de-identify the application data upon reasonable request, subject to applicable legal and operational record-keeping requirements.
25. Board Prep AI — InedAI, Board Prep, and Study Coach
25.1 Description
The Service includes three AI-assisted study features. InedAI is a retrieval-augmented question-and-answer assistant; the Free tier provides up to ten (10) questions per calendar month, and the Premium and VIP tiers provide unlimited questions. Board Prep is a clinical case simulator that generates synthetic patient cases and grades User answers with attending-style feedback; access to Board Prep is limited to the VIP tier and administrative accounts. Study Coach analyzes a User’s incorrect answers and recommends targeted remediation. Tier eligibility is governed by Sections 10 and 11.
25.2 AI Providers
The AI features are powered by third-party large-language-model providers. Anthropic and OpenAI are disclosed as sub-processors in the Privacy Policy and may change from time to time on notice.
25.3 No Medical Advice; Educational and Informational Use Only
The AI features are made available for the continuing professional education of licensed physicians and other licensed clinicians. They are not a medical device and are not intended to provide medical advice, diagnosis, treatment, or prevention of any condition. The AI features must not be used as the sole basis for any patient-care decision, and any reliance on AI outputs is at the User’s sole professional risk.
25.4 AI Accuracy and Limitations
AI outputs may be incomplete, out-of-date, or incorrect. Inedsys does not warrant the accuracy, completeness, or fitness for any purpose of any AI output. The User is responsible for independently verifying AI outputs against authoritative third-party sources before relying on them in any clinical, academic, or professional setting. Inedsys may modify, suspend, or discontinue any AI feature at any time without notice to you.
25.5 No Patient-identifiable Information
You must not enter into any AI feature any patient name, contact information, identifier (including Social Security Number, date of birth, medical record number, telephone number, or email address), photograph, biometric identifier, or any other information from which a particular patient could reasonably be re-identified. Inedsys operates technical safeguards that screen for such patterns, but those safeguards are not perfect, and responsibility for complying with this prohibition rests with the User. Inedsys may suspend or terminate access to the AI features (or to the Service generally) where it reasonably believes this prohibition has been violated in its sole, unquestionable ` discretion.
26. User-Generated Content — Cross-Feature License
In addition to the licenses already granted under Sections 7.2 (Content License Granted by Presenters), 22.5 (chat content), and 23.3 (SIG slide uploads), you grant Inedsys a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, reproduce, and distribute User-generated content (including chat messages and photographs, SIG and event forum posts, uploaded slide materials, and any free-text submissions to host application or SIG application forms) solely to the extent necessary to operate, secure, market (where you have separately consented), improve, and enforce the Service and these Terms. This license is non-sublicensable except to Inedsys’s service providers acting on its behalf, and terminates with respect to any specific content when that content is deleted, subject to retention of backup copies for a commercially reasonable period and to records required for moderation and legal purposes.
27. Mobile Applications
The Service is made available as a mobile application through the Apple App Store and Google Play. Your use of the mobile application is also subject to the applicable platform terms (the Apple Media Services Terms and Conditions, Google Play Terms of Service, and the platform owners’ separate platform-developer-agreement provisions where applicable to End-User Licensees). The platform owners are not parties to these Terms and are not responsible for the Service or for any claim relating to the Service; however, where required, Apple and Google are intended third-party beneficiaries of these Terms solely as needed to enforce the platform-required provisions, and only with respect to your use of the mobile application acquired through the relevant platform.
28. Continuing Medical Education (CME)
28.1 No Guarantee of CME Availability
Inedsys may offer Continuing Medical Education (CME) credit for some Grand Rounds, Symposiums, SIG topics, webinars, or other sessions on the Service. CME credit is not guaranteed for any specific session. The availability of CME credit, the number of credits offered, the type of credit, the eligibility requirements, and the accredited CME provider issuing the credit are determined on a session-by-session basis and may be added, modified, or withdrawn at any time without notice. The session record on the Service will indicate whether CME is offered for that session and, where available, the accredited CME provider responsible for that credit.
28.2 Accredited CME Providers; Provider Changes
Where CME credit is offered, it is issued through one or more accredited CME providers with whom Inedsys partners. As of the effective date of these Terms, Inedsys works (or is in active discussions) with one or more accredited joint providers, and Inedsys reserves the right to add, change, or remove accredited CME provider relationships at any time, in its sole discretion, without notice to you. Inedsys does not itself confer CME credit.
28.3 Learner Obligations and Accuracy
To claim CME credit for a session, you must comply with all requirements of the relevant accredited CME provider, which may include verifying your attendance, completing any post-session evaluation, post-test, or required attestation, and accurately self-reporting your professional credentials and licensure information (including, where applicable, NPI number, state medical license number, and any other identifier required by the accreditation body). You are solely responsible for the accuracy and completeness of any information you provide for CME purposes.
28.4 No Liability for CME Outcomes
Inedsys is not responsible for the issuance, denial, delay, modification, or revocation of CME credit by an accredited CME provider, including where such action results from inaccurate or incomplete information you have provided, from any change in the accredited provider’s policies or accreditation status, or from changes in the rules of the relevant accreditation body. The decision whether to award, deny, modify, or revoke CME credit rests with the accredited CME provider, in accordance with its own terms and the rules of the relevant accreditation body.
28.5 Data Sharing for CME
Where you elect to claim CME credit, certain personal data will be shared with the relevant accredited CME provider as described in the Privacy Policy (see the CME data-sharing section as proposed in the current amendment to the Privacy Policy). By electing to claim CME credit, you consent to that data sharing. If you do not wish to share the information described in the Privacy Policy for CME purposes, you should not elect to claim CME credit; you may still participate in the underlying session subject to the rest of these Terms.
29. Societies
29.1 Description
The Service supports professional medical and scientific societies (each, a “Society”) in hosting their public presence, managing membership, publishing content, and operating a public discussion forum on the Inedsys platform. Societies are typically established professional associations (national, regional, sub-specialty, or supranational) that wish to use Inedsys as a hosting platform for their digital activities. The Society feature is similar to the Special Interest Group (SIG) feature described in Section 23 but supports a richer role structure, a publicly-visible Society page, and delegated moderation by Society Admins.
29.2 Onboarding and Society Admins
Inedsys may, in its sole discretion, accept or decline any organization’s request to be onboarded as a Society. To establish a Society on the Service, the organization must designate one or more authorized representatives (each, a “Society Admin”) with authority to act on behalf of the Society, and must agree, through those representatives, to these Terms and to any separate written agreement Inedsys requires.
29.3 Society structure and roles
A Society may configure one or more leadership and officer roles within its space on the Service. Such roles may include, by way of example, President, President-Elect, Past President, Joint Secretary, Treasurer, Editor, Academic Coordinator, Research Coordinator, Council Member, or any other role appropriate to the Society’s own governance structure. Role configuration is the responsibility of the Society Admin and may be changed at any time.
29.4 Public-facing Society page; consent of Officers
Each Society has a public-facing landing page on the Service that is visible to all visitors, including visitors who are not registered Users. The public page may display the Society’s mission, its team (including individual Officers’ full names, professional credentials, roles, photographs, and biographical statements), upcoming activities, and a public discussion forum. The Society’s public page may be indexed by external search engines. By publishing the Society’s public page, the Society represents and warrants that (a) it has the right to use the Society’s name, logo, and other identifiers it publishes, and (b) it has obtained the informed consent of each individual Officer to the public display of that Officer’s name, credentials, photograph, biographical statement, and other personal data on the Service.
29.5 Society membership and applications
A Society may operate an application-to-join workflow on the Service. Where it does so, the Society Admin (and not Inedsys) is responsible for reviewing applications and for the decision to approve or reject any individual application. Approval criteria are set by the Society in accordance with its own bylaws and governance. Inedsys provides the tooling for the application workflow but does not vet applicants on the Society’s behalf.
29.6 Public discussion forum
A Society may operate a public discussion forum on its Society page. Posting to the forum is restricted to authenticated Users. Where the Society configures the forum as publicly readable, forum posts will be visible to non-authenticated visitors and may be indexed by search engines. Forum posts are User-Generated Content within the meaning of Section 26 and are subject to Section 13 (Acceptable Use and User Conduct), to the chat acceptable-use rules in Section 22.2 to the extent applicable, and to moderation by both the Society Admin and by Inedsys.
29.7 Delegated moderation by Society Admins
Each Society’s designated Society Admin has delegated moderation authority within the Society’s space on the Service. A Society Admin may, in their discretion: read posts and applications within the Society; approve or reject membership applications; remove forum posts and comments; warn, mute, or remove Society members from the Society; and modify the Society’s public-facing content. Society Admins act on behalf of the Society and not on behalf of Inedsys, and the Society is responsible for the conduct of its Society Admins. Inedsys retains the right, at any time, to take any moderation action described in Section 22 with respect to Society content.
29.8 Society Content and Promotional Use
Content a Society publishes to the Service (including topic records, presentation materials, event records, recorded webinars and conference content, and other materials) is licensed to Inedsys on the terms set out in Section 7 (Presenter and Speaker Terms) and Section 26 (User-Generated Content), including the right of Inedsys to use such content for promotional purposes on the Service, on Inedsys-operated social-media channels, and in newsletter communications. By publishing content on behalf of the Society, the Society Admin represents and warrants that the Society has the right to grant that license and that the content does not infringe any third-party’s rights.
29.9 Officer Accuracy and Removal
Each Society represents and warrants that the personal data it publishes about its Officers (including, but not limited to, names, titles, photographs, and biographical statements) is accurate and current, and that the Society has obtained appropriate consent from each individual whose personal data is published. The Society agrees to remove or update Officer personal data promptly on request from the individual concerned or from Inedsys.
29.10 Termination and Archiving
Inedsys may suspend or terminate a Society’s access to the Service for any breach of these Terms, including for violations by Society Admins or by content published in the Society’s space at Inedsys’ sole and unquestionable discretion . Where a Society is terminated or chooses to leave the Service, Inedsys will archive the Society’s public-facing presence and remove it from public listings. Society-contributed content already published to the Inedsys library may remain available subject to the content license described in Section 29.8.
29.11 International Societies
Societies and their Officers and members may be based outside the USA. By onboarding a Society on the Service, the Society (on behalf of itself and its Officers) consents to the processing of the personal data described in this Section in the USA and in any other jurisdiction in which Inedsys or its sub-processors operate, on the terms set out in the Privacy Policy.
